End User Software License Agreement

This Software License Agreement (hereinafter referred to as the “Agreement”) is a legal contract between you, your company (“Client”), and TITAN Electronics Inc. (“TITAN”). By installing, using, or accessing the software programs and/or components included with our products or downloaded from our web server (collectively, the “Software”), the Client acknowledges and agrees to be bound by the terms of this Agreement. If the Client does not agree to these terms, the Software and all accompanying materials must be promptly uninstalled and deleted.

1. Scope of Delivery of Software

1.1 The Software is provided “as is.” TITAN makes no warranty that the Software includes all necessary legal provisions or complies with all applicable standards related to its use.

1.2 The Software is supplied by TITAN in machine-readable form (object code or source code) along with installation instructions and, if available, user documentation. Installation instructions and user documentation may be provided solely in electronic formats, such as PDF files or standard help files.

2. Right to Use Software

2.1 TITAN grants the Client the right to use the Software as specified in this Agreement. The Client may use the Software for its own purposes and for the purposes of its customers.

2.2 The Software is provided to the Client free of charge as a supplementary component to other TITAN hardware and/or software products offered by TITAN.

2.3 The Client may distribute the Software to third parties only if:

  • These terms and conditions are included in their entirety, and
  • The distribution is provided at no cost to the third party.

Any third party receiving the Software must also fully comply with these terms and conditions.

2.4 The customer is not permitted to distribute or provide the software to any third party and charge for it.

2.5 The Client agrees to only use the Software on configurations that TITAN has declared to be compatible with the Software.

2.6. TITAN grants the Client the right to use the Software in combination with either TITAN or OEM hardware (please check with TITAN to confirm whether your product is OEM). Using the free TITAN software with third-party hardware is prohibited.

2.7. Client may use the Software and Tools for his application or product. Client shall use the Software to build own applications and tools, even if they compete with TITAN software products or solutions.

3. Performance

3.1. The Client is solely responsible for implementing the Software.

3.2. The Client is responsible for testing the Software under the conditions in which it will be used before putting it into production.

3.3. The Client is responsible for installing the Software on its own IT systems.

4. Client’s Responsibilities for Software Protection

4.1 The Client acknowledges that the Software and related documentation, including future versions, are copyrighted works and contain confidential information and trade secrets proprietary to TITAN.

4.2 The Client shall not remove or alter any copyright notices from the Software—particularly when provided in source code form—or from any documentation supplied by TITAN.

4.3 The Client is required to make the TITAN copyright notice and this Agreement directly accessible to all users of the Software or the Client’s products.

4.4. The documentation is provided in an electronic format. Client shall not be entitled to translate, distribute, modify or develop any works based on provided user documentation.

4.5. TITAN may revoke Client’s right of use, if Client substantially violates its obligations referring to software protection.

5. Warranty and Maintenance

5.1. Software is provided for free without maintenance and warranty.

5.2. TITAN may fix bugs or enhance features, update Software without prior announcement. This includes implementation of new features and the adaptation to new system software (OS) and new hardware.

6. Support

6.1. As long as you use any of the Software Tools ONLY with TITAN Hardware, support is free of charge. If you use TITAN Tools without owning TITAN Products in your company, it is up to our Support Team if they provide free support for Software to your company or if they charge for it.

7. TITAN’s Liability

7.1. TITAN, its affiliates and/or its suppliers shall not be liable for any damages whatsoever (including without limitation, direct or indirect damages for personal injury, loss of business profits, business interruption, loss of business information damages for loss of data, or software restoration, or any other pecuniary loss) arising out of the use of or inability to use the software, even if TITAN has been advised of the possibility of such damages.

7.2 In any case, the total liability of TITAN, its affiliates and its suppliers under any provision of this agreement shall not exceed the amount paid by the client to TITAN for this software.

8. General Matters

8.1 This Agreement constitutes the entire agreement between the parties and may not be altered, amended or cancelled except in writing and with the consent and signature of all parties concerned.

8.2. If the parties are registered merchants, they hereby submit to the jurisdiction of TITAN’s main place of business (Taiwan).

8.3. This agreement shall be governed by and construed in accordance with the laws of Taiwan.

8.4. If any part of this Agreement is deemed invalid or unenforceable, this shall not affect the validity or enforceability of the remainder of the Agreement, which shall remain valid and enforceable according to its terms.

This Agreement may only be modified in writing by an authorized officer of TITAN. This is the entire agreement between TITAN and You relating to the Software and it supersedes any prior representations, discussions, undertakings, end user agreements, communications or advertising relating to the Software.

A current list of all software and API tools is available upon request.

In general, all files provided by our product DVD/web support downloads, etc., are covered by this agreement, including all documents (PDF and TXT files).

Files that use their own licence agreement (see the file description in the package) are excluded from this agreement.
